These terms are the agreement between Vortex Solar, Lucknow, and you, an independent solar expert who advises Vortex's customers on their rooftop solar plant. They cover how work reaches you, what you earn, who pays you and when and how, and what you and Vortex each promise. In short, the customer pays your fee straight to you. It is the fee they saw before choosing you, and Vortex takes no cut. Please read the money parts carefully. If anything is unclear, ask your area manager or Vortex's head office before you accept.
In plain words
- The customer pays you directly. Your fee goes from the customer straight to you. Where possible they pay by UPI or bank transfer into your own account. If they pay cash, give a written receipt. Vortex takes no cut, and never collects or holds your fee.
- Your fee is shown first, then fixed. Fees come from Vortex's rate card. Today's standard fees: remote ₹1,000, visit ₹2,500, visit plus net metering ₹4,500. The customer sees your fee before choosing you. Once you accept an offer, its fee is fixed. Rate changes apply only to new offers.
- Paid when each piece of work is done. Remote: when the customer has Vortex's design and quote and you have gone through them together. Visit: when the site visit is done. Net-metering part: half when the application is filed with the DISCOM, half when the net meter is installed.
- Earned whether or not they buy. Your fee is for your advice. Once a piece of work is done, its fee is due even if the customer never buys a plant. Nothing is due for work you did not do.
- DISCOM charges: actual cost, no mark-up. For net metering, collect only what the electricity company (DISCOM) actually bills, and only when it falls due. Pay it to the DISCOM and upload the receipt to the case within 2 days. Return any unspent money within 7 days. It is the customer's money, not your fee.
- Loan customers: Vortex pays you by bank. If the plant is paid for with a loan arranged through Vortex, Vortex pays your net-metering fee and the DISCOM charges out of the loan. It pays by bank transfer to your checked account, within 7 days of enough loan money arriving, and the bank reference (UTR) shows in the case. Your remote or visit fee is still paid by the customer.
- Only your fee, nothing else. Never take money for Vortex's price, materials or care plans: customers pay those only to Vortex. Never ask for a fee before the work is done, never charge twice, and never accept money from another partner. Vortex charges you nothing to join.
- Reply to offers within 4 hours. Accept or decline each offer within 4 hours (today's setting). After that, the offer is released so the customer can choose another expert, and the missed reply is recorded. Declining in time carries no penalty.
- Your customers stay with you. Once a customer is with you, Vortex's telecallers cannot change their record. Moving them to someone else needs approval from a senior Vortex person who did not ask for the move. Fees for work you have finished stay due.
- Customer's code first; honest advice. Act on a customer's project only after they agree with the one-time code (OTP) sent to their phone. Use Vortex's price and never change it. Never promise a subsidy amount, date or approval. Tell the customer about any link you have with an installer, lender or DISCOM.
- No bribes, no fakes, stay safe. Never offer a bribe or "speed money". Never use a false paper, photo or receipt. On visits, do no electrical work and do not climb onto an unsafe roof. Breaking any of these rules is a serious breach.
- Ratings decide your standing. You start on probation (a trial stage). With 5 or more ratings in 12 months: 3.5+ is active, 4.3+ is silver, and 4.7+ with at least 20 ratings is gold. Under 3.5, or any penalty point, means warned: you are not shown to new customers. 10 points means suspension.
- Independent; 15 days' notice to end. You are an independent professional, not an employee, and you are free to work for others. Either side can end the partnership with 15 days' written notice. For a serious breach, Vortex can act sooner after hearing your side. Fees you earned stay due.
1. Who this is for
- 1.1These terms are an agreement between Vortex Solar, with its head office in Lucknow ("Vortex"), and you, an independent solar expert who advises Vortex's customers about their rooftop solar plant ("you").
- 1.2You must be at least 18 and able to make a contract under Indian law.
- 1.3You are an independent professional, not Vortex's employee, agent or franchisee. "Partner" is only the name of the role. It is not a partnership under the Indian Partnership Act, 1932, and it is not a joint venture. You get no salary, PF or ESI from Vortex. Within these terms, you decide your own hours and how you work. You pay your own travel, phone, tools, insurance and taxes.
- 1.4Vortex is the seller of every plant ordered through Vortex. Your job is to advise the customer. You cannot sign, promise or change anything on Vortex's behalf.
- 1.5This partnership is not exclusive: you may do other work. But you must declare any link that you or your close family have with an installer, dealer, solar company, net-metering agent, lender or DISCOM. Tell Vortex in writing, and tell the customer before you advise them. Update Vortex if this changes.
- 1.6Your agreement with Vortex has three parts: these terms, Vortex's rate card, and the details of each offer you accept. The rate card is Vortex's list of fees for each type of help in each area. If the parts disagree, these terms win, except on price: the fee on an offer you accepted is the fee for that work.
- 1.7When you do net-metering work, Vortex's Net-metering partner terms (on Vortex's website) also apply to that case. These terms set your fee. The Net-metering partner terms decide everything else about the case. The main points are repeated below.
- 1.8You accept these terms with the one-time code (OTP) sent to your registered mobile. This makes a valid electronic contract under the Indian Contract Act, 1872 and the Information Technology Act, 2000. Vortex keeps a record of the version you accepted and when you accepted it, and gives you a copy on request.
- 1.9These terms apply from when you accept them, but you can take work only after Vortex activates you. The partnership ends if Vortex does not activate you, or if you withdraw before activation. The clauses on confidentiality and data still apply after that.
2. Joining and verification
- 2.1The joining steps are: an application, confirmed with a one-time code sent to your mobile; an eligibility check; a screening call; identity checks (KYC); and a background check. Then you accept these terms, complete training, and do a practical: you advise three customers with a Vortex person alongside you. If you apply on Vortex's website, you accept these terms when you apply.
- 2.2For KYC you give your Aadhaar, PAN, bank account details and a selfie. Vortex's area manager checks them by hand. The name on the bank account must match your KYC name. Vortex uses your Aadhaar only to confirm who you are.
- 2.3You agree that Vortex may check your references and your past work. This includes whether you have been removed from similar work before.
- 2.4You must pass every step, and Vortex does not skip any. Vortex decides whether to accept an application. If it refuses, it tells you which step was not met.
- 2.5When every step is done, Vortex activates you on probation (a trial stage) and gives you a login to the partner app. The login is only for you. Do not share it, and tell Vortex at once if someone else may have used it.
- 2.6Vortex charges no fee to join, to be trained or to be listed.
- 2.7Every detail you give must be true. Giving false details is a serious breach.
- 2.8Keep your mobile number, address, bank account, languages and the PIN codes you serve up to date. Vortex sends money only to the bank account checked at KYC. If you change that account, the area manager checks the new one before any money is sent to it.
3. How work reaches you
- 3.1Customers who want an expert see the experts who serve their PIN code, with each one's name, rating, standing, languages and fee, and choose one. Vortex's Sales Head may also assign you to a customer.
- 3.2Each offer shows the customer, the type of help (remote, visit, or visit plus net metering) and your fee. Accept or decline it within 4 hours (today's setting).
- 3.3If you do not reply in time, the offer is released so the customer can choose another expert. The missed reply is recorded on your reliability record. Declining in time carries no penalty.
- 3.4Only experts on probation, active, silver or gold are shown to new customers.
- 3.5Vortex is building its network in these areas: the big cities of Uttar Pradesh (Lucknow, Kanpur, Ghaziabad with Delhi, Meerut, Agra, Bareilly, Aligarh, Saharanpur, Prayagraj, Varanasi, Gorakhpur, Jhansi and Ayodhya); Uttarakhand (Dehradun and Haldwani); and Patna, Chandigarh, the rest of Haryana, Bhopal, Jabalpur and Gwalior. The network in these areas is not complete. Joining does not promise you any amount of work, and customers choose freely.
- 3.6Once a customer is with you, Vortex's telecallers can see that customer's record but cannot change it.
- 3.7Moving a customer away from you, to another expert or off the expert route, needs approval from a senior Vortex person who did not ask for the move. This applies whether the customer asks for the move or Vortex does. Fees for work you have already finished stay due.
- 3.8Today, net-metering work is available only for customers of these Uttar Pradesh DISCOMs (electricity companies): LESA, MVVNL, PVVNL, DVVNL, PuVVNL, KESCO and NPCL. No net-metering work is promised anywhere else until Vortex adds that DISCOM in writing.
- 3.9Take net-metering work only while you hold Vortex's current net-metering certificate (NM-1). This includes the net-metering part of a visit-plus-net-metering offer. If you do not hold the certificate, decline the offer.
- 3.10If a customer chose to do their own net metering ("Self"), you may not charge them for it. If they later want your help, the choice must first be changed through Vortex, so that your fee is shown to them and recorded.
4. What you do for the customer
- 4.1Remote: by phone or video, you go through Vortex's design and quote with the customer and answer their questions. This work is done when the customer has Vortex's design and quote and you have gone through them together.
- 4.2Visit: you visit the site to check the roof, shade, wiring and sanctioned load, and you explain the design and quote. This work is done when the site visit is complete.
- 4.3Visit plus net metering: the visit, plus the customer's net-metering application with the DISCOM. You follow it up until the net meter is installed and the joint commissioning report (JCR) is in the case.
- 4.4Vortex's own team does the customer's PM Surya Ghar National Portal work: registration, the feasibility request, choosing Vortex as the vendor, and the subsidy claim. Do this work only if Vortex asks you to in writing for that customer.
- 4.5Advise honestly. Use Vortex's design, price and generation estimate, and never present your own figures as Vortex's. Explain the choices in plain words, and tell the customer if solar is not right for their roof.
- 4.6Do not push a customer towards an installer, lender or anyone else you are linked to.
- 4.7Keep simple proof of each piece of work. For a visit, keep time-stamped site photos. For remote work, keep a message from the customer saying they have the design and quote (WhatsApp or SMS is fine). For net metering, keep the proof that each step in the case asks for.
- 4.8If the customer wants a different type of help, it is changed through Vortex with the customer's code, and the customer sees the new fee first. You are then paid the fee for the help you finally gave, and anything the customer has already paid you counts towards it.
- 4.9Vortex may check any of your work with the customer at any time.
5. Your fee and how you are paid
- 5.1How much: your fee for each type of help comes from Vortex's rate card, at the fee level for your area. Today's standard fees are: remote ₹1,000, visit ₹2,500, and visit plus net metering ₹4,500. Your offers show the fee that applies to you.
- 5.2Vortex may set a different fee for you, with a recorded reason. It tells you before the new fee applies, and the new fee applies only to new offers. The customer always sees the fee that applies to you before choosing you.
- 5.3Once you accept an offer, its fee is fixed for that customer. A change to the rate card applies only to offers made after it.
- 5.4The fee shown is everything the customer pays you for that work, including any GST, travel and printing. Do not add anything on top.
- 5.5Who pays and how: the customer pays you directly. Where possible, ask for UPI or a bank transfer into your own account. If the customer pays cash, give a written receipt. Every receipt shows the customer's name, the amount, the date and how it was paid. Keep a copy.
- 5.6Vortex takes no commission on your fee. It does not collect or hold your fee, and it takes nothing from what the customer pays you. Bringing in a commission would be a change to these terms, and it would apply only to new offers.
- 5.7When: the remote fee is due when the customer has Vortex's design and quote and you have gone through them together. The visit fee is due when the site visit is complete.
- 5.8For visit plus net metering, the visit part is the visit fee on the rate card, and it is due after the visit. The rest is the net-metering part, paid in two halves. The first half is due when you have filed the application with the DISCOM and put the application number in the case. The second half is due when the net meter is installed and its photo is in the case. At today's standard fees, that is ₹2,500 after the visit, ₹1,000 at filing and ₹1,000 when the net meter is installed.
- 5.9A customer may choose you for net metering only, on their agreement, without a visit-plus-net-metering offer. Your fee is then the plant size in kW, as written in the signed agreement, times the per-kW rate on Vortex's rate card (today ₹1,000 per kW). The customer sees this fee before choosing you and pays it the same way: half at filing, half when the net meter is installed.
- 5.10You are paid for net metering on a plant only once. If the customer has already agreed your visit-plus-net-metering fee, its net-metering part is your whole net-metering fee for that plant. You may not also charge the per-kW fee.
- 5.11Your fee is for your service. Once a piece of work is done, its fee is due whether or not the customer buys a plant.
- 5.12Never ask for a fee before the work it pays for is done. DISCOM charges are not your fee: see the next section.
- 5.13If the customer cancels before you start a piece of work, nothing is due for it. If you cancel, or do not turn up, no fee is due for that work.
- 5.14If a net-metering case stops after filing for a reason that is not your fault, you keep the first half. The second half is due only if the net meter is installed.
- 5.15If the DISCOM rejects or returns a filing, correct it and file it again at no extra fee.
- 5.16If a customer does not pay a fee when it is due, tell Vortex in writing. Vortex will remind the customer and treat it as a money dispute. Vortex does not guarantee, and does not pay, money that does not pass through it.
- 5.17While a fee is unpaid, you may pause further work for that customer after telling them and Vortex in writing. Never hold back the customer's papers, receipts or DISCOM money.
6. DISCOM charges and loan customers
- 6.1DISCOM charges are only what the DISCOM itself bills, such as the application fee, the registration fee and the net meter at the DISCOM's rate. The figures in the app for UP today are ₹250 for the application and ₹1,000 for registration. If the DISCOM's bill is different, the DISCOM's bill counts.
- 6.2Collect each charge from the customer only when it falls due, and only the exact amount on the DISCOM's bill. Do not add a mark-up or round the amount up. Do not add a "file charge" or "speed money".
- 6.3Pay each charge only through the DISCOM's official portal or counter, with the receipt in the customer's name. Upload the receipt to the customer's case within 2 days of paying. The customer may pay the DISCOM directly instead. If they do, upload the customer's receipt.
- 6.4DISCOM money you hold belongs to the customer. Keep track of it separately from your own money, and use it only to pay the DISCOM. Return any unspent amount within 7 days, with a note in the case. It goes back to the customer, or to Vortex if it came from a loan.
- 6.5If your own mistake causes an extra DISCOM charge, such as a late fee, you pay it. Apart from that, you never have to pay DISCOM charges out of your own money.
- 6.6Loan customers: if the plant is paid for with a loan arranged through Vortex, the customer pays you nothing for net metering. Instead, Vortex pays your net-metering fee and the DISCOM charges known at the time out of the loan, together. It pays by bank transfer to your checked bank account. The amount and the bank reference (UTR) show in the case.
- 6.7When: within 7 days after enough of the customer's loan has reached Vortex to cover the payment. If the DISCOM later bills more, send Vortex the bill, and Vortex pays the difference the same way. If a DISCOM charge falls due before the loan money arrives, tell Vortex in writing. That step then waits, and you are not penalised for the delay.
- 6.8A loan covers only net metering. The customer always pays your remote or visit fee directly. If the loan is cancelled before Vortex pays you, the customer pays your net-metering fee directly, in the normal two halves.
- 6.9If a transfer fails, Vortex tells you. Once your bank details have been checked again, Vortex pays in the next Wednesday settlement.
- 6.10A loan case may be cancelled or moved after Vortex has paid you. If so, return two things to Vortex within 7 days: the half of the fee you did not earn, and any DISCOM money not spent. If you do not, Vortex may take that amount from a later loan payment to you. It may do so only after telling you the details in writing and giving you 7 days to dispute them.
- 6.11From loan payments, Vortex deducts only two things: tax deducted at source (TDS) where income-tax law requires it, and any amount you owe back under the clause above. It gives you the TDS certificate and charges nothing for the transfer.
- 6.12Never ask a loan customer to pay you for anything that Vortex has paid, or will pay, from the loan. Apart from these loan payments, Vortex does not pay your fees on the customer's behalf.
7. Taxes and receipts
- 7.1You are responsible for your own income tax. You are also responsible for GST if you are registered for it or the law requires you to register.
- 7.2Give the customer a receipt for every payment. If you are registered for GST, give a GST tax invoice instead. The fee shown to the customer already includes any GST.
- 7.3Vortex deducts no TDS from fees the customer pays you, because Vortex is not the payer. On loan payments that Vortex makes to you, Vortex deducts TDS only where income-tax law requires it, and gives you the TDS certificate.
- 7.4Keep your PAN on record with Vortex. Without it, tax law may require a higher TDS rate on any payment Vortex makes to you.
- 7.5DISCOM charges are the customer's money, passed on to the DISCOM. They are not your income, and the DISCOM's receipt belongs to the customer.
- 7.6Keep copies of your receipts and invoices for as long as tax law requires. Vortex may ask to see them during a check or a dispute.
8. Customers, consent and data
- 8.1The customer must agree before you change anything on their project in the partner app, such as the type of help, the expert or the net-metering choice. They agree with the one-time code (OTP) that Vortex sends to their mobile.
- 8.2Ask a customer for a DISCOM or portal code only for the step you are doing, and tell them what it is for. Never use it for anything else.
- 8.3Never change a customer's mobile number, email or bank details on DISCOM, PM Surya Ghar or any other records. Never put your own details there.
- 8.4Customers' personal data is protected by the Digital Personal Data Protection Act, 2023. This includes names, mobile numbers, addresses, electricity bills, Aadhaar, bank details, documents and photos. Vortex decides how this data is used: in the Act's words, Vortex is the "Data Fiduciary". You handle the data only on Vortex's behalf, and only for that customer's project.
- 8.5Keep customer data safe: lock your phone, and keep customer data in the partner app where you can. Do not copy, sell, share or reuse it. Do not keep it in your phone gallery, chats or groups longer than the work needs. Never keep a customer's Aadhaar, bank or loan papers outside the partner app.
- 8.6Take photos at a customer's home only with their permission, and only the photos the work needs.
- 8.7If any customer data is lost, leaked or seen by someone who should not see it, tell Vortex within 24 hours and help Vortex deal with it.
- 8.8If a customer asks you to show, correct or delete their data, pass the request to Vortex within 2 days.
- 8.9Within 7 days of a project or the partnership ending, delete any customer data you hold outside the partner app, except what the law requires you to keep. Confirm this when Vortex asks.
- 8.10Vortex uses your own details (KYC, bank account, mobile, ratings and work record) only to check who you are, list you, pay you, check quality, meet its legal duties and run the partnership. It keeps them only as long as the law or an open matter needs them, and you may ask Vortex to show or correct them. Customers see your name, rating, standing, languages and fee.
9. Conduct and safety
- 9.1Never change Vortex's price or offer a discount that Vortex has not approved. Never take any money for Vortex's price, materials or care plans. Customers pay those only to Vortex, through its official channels.
- 9.2Never accept money, gifts or a share of money in connection with any Vortex customer from an installer, warehouse, net-metering agent, lender, supplier or any other partner.
- 9.3Never misrepresent the PM Surya Ghar subsidy. Do not promise an amount, a date or an approval: the government decides and pays it under the scheme's rules.
- 9.4Never pay, offer or promise a bribe, "speed money", gift or favour to anyone at a DISCOM, a government office or a bank, either yourself or through someone else. Report any such demand to Vortex. You will not be penalised for a delay caused by refusing. Bribing a public servant is a crime under the Prevention of Corruption Act, 1988.
- 9.5Never make, change or use a false paper, receipt, signature, photo or OTP. Vortex may report fraud to the police, the DISCOM or the bank.
- 9.6Vortex staff never ask you for money for themselves. If anyone does, report it to Vortex's head office.
- 9.7Introduce yourself as an independent partner of Vortex, never as Vortex staff or a DISCOM official. Be polite and on time. Never use pressure, threats or false claims.
- 9.8You do no electrical work. Never open or touch the meter, inverter, wiring or panels, and never break a seal. Interfering with a meter is an offence under the Electricity Act, 2003. Go only where the customer allows. Do not go onto a roof without a safe way up, and leave the site if it is unsafe.
- 9.9You are responsible for your own safety and insurance. Vortex does not insure you.
- 9.10Never hold back a customer's papers or filings to force a payment. Raise a dispute instead.
10. Standing, ratings and penalties
- 10.1You start on probation. Once you have at least 5 published customer ratings in the last 12 months, your average rating sets your standing (your level). Under 3.5 is warned, 3.5 or more is active, 4.3 or more is silver, and 4.7 or more with at least 20 ratings is gold.
- 10.2Only published ratings count. A rating under 2.5 stars needs a comment from the customer, and a supervisor checks it before it is published or set aside.
- 10.3Losing a dispute costs 3 penalty points. Any penalty point makes you warned, which means you are not shown to new customers. At 10 points in total, you are suspended.
- 10.4If you are warned or suspended, you still finish your open work, unless Vortex moves it to protect the customer. You keep the fees you earned before any work was moved.
- 10.5Missed replies to offers are recorded on your reliability record. Your area manager may go through your record with you.
- 10.6Vortex tells you in writing the reason for any penalty point or change in your standing. You can reply within 7 days. If your reply shows that a point was wrong, Vortex removes it. You can also ask your area manager to review your standing. Your standing can rise again as new ratings come in.
11. Confidentiality and brand
- 11.1Keep these confidential while you are a partner and for 2 years after: Vortex's designs, rate cards, unpublished prices, customer and partner lists, app contents and training material. Keep customer data confidential always. This does not cover anything already public, or anything a law or a court makes you share.
- 11.2Only while you are listed, you may describe yourself as "Solar expert, partner of Vortex Solar". You may not use Vortex's name or logo in adverts, signs, visiting cards or social media without Vortex's written permission.
- 11.3Do not post customers' photos or details, and do not speak to the media for Vortex.
- 11.4While you are a partner, do not move a customer who reached you through Vortex to another seller for the same plant. During or after the partnership, never use customer details you got through Vortex to sell anything to those customers. This does not stop you working for others, or serving a customer who comes to you on their own.
12. Ending the partnership
- 12.1You may end the partnership by giving 15 days' notice in writing.
- 12.2Vortex may end it by giving you 15 days' notice in writing, with a reason.
- 12.3Vortex may suspend you or end the partnership for a serious breach. Serious breaches are: fraud or false records; taking money you are not allowed to take, such as money for Vortex's price or materials, more than your fee, or a fee in advance; holding back customer or DISCOM money; a bribe; misrepresenting the subsidy; misusing customer data; abuse, harassment or unsafe conduct; false joining details or a hidden affiliation; and reaching 10 penalty points.
- 12.4Reaching 10 penalty points suspends you at once, and you may reply within 7 days, as for any penalty. For any other serious breach, Vortex first tells you in writing what is alleged and gives you 7 days to reply, before suspending you or ending the partnership. It then decides in writing, with reasons. While it looks into the matter, Vortex may stop sending you new offers. It may also move open work where a customer needs protecting.
- 12.5When the partnership ends, finish your open work or hand it over as Vortex asks. Fees for work you finished are still due from customers. If net-metering work is moved, you keep the halves you earned for steps you completed, and the rest goes to whoever finishes the work.
- 12.6Within 3 days of the end, or of work being moved, hand over all papers, receipts and references through the case. Return any unspent DISCOM money within 7 days.
- 12.7Money Vortex already owes you on loan cases is still paid, less any amount you must return under these terms.
- 12.8When the partnership ends, your login is closed, and you must delete customer data as these terms require. The clauses on money owed, money to be returned, confidentiality, data and disputes continue after the partnership ends.
13. Disputes and responsibility
- 13.1Tell Vortex in writing about any problem, including about money, and include your proof. Please do this within 30 days, while the records are fresh. Raising it later does not take away your legal rights.
- 13.2A dispute with a customer or another partner: raise it in the partner app or in writing. You have 72 hours to settle it between you. After that, Vortex mediates using the records: receipts, UTRs, photos, OTP consents and messages. It gives its view in writing within 15 days of starting.
- 13.3If Vortex's view is that you must refund money, you have 7 days. Within that time, either pay it, or tell Vortex in writing that you do not accept the view. If you do not accept it, it becomes a dispute with Vortex (see below). Vortex's view does not take away anyone's legal rights.
- 13.4A dispute with Vortex: talk first to your area manager. If that does not settle it, a senior person at the Lucknow head office who was not involved looks into it and replies in writing within 15 days.
- 13.5While a dispute is open, amounts not in question are paid on time. Nobody may hold back a customer's papers or receipts, or DISCOM work that has already been paid for.
- 13.6If a dispute between you and Vortex is not settled within 30 days of being raised, either side may refer it to arbitration (a private judge, called an arbitrator) under the Arbitration and Conciliation Act, 1996. There is one arbitrator, agreed by both sides. If the two sides cannot agree within 30 days, the arbitrator is appointed under that Act. The seat and venue are Lucknow. The arbitration is held in English, either side may give documents in Hindi, and hearings may be held online. Each side pays its own costs unless the arbitrator decides otherwise.
- 13.7These terms are governed by the laws of India. Subject to arbitration, only the courts at Lucknow deal with any court matter under these terms, including urgent interim orders.
- 13.8Nothing in these terms takes away your rights under the MSMED Act, 2006 if you are a registered micro or small enterprise (Udyam). Nothing takes away any customer's rights under the Consumer Protection Act, 2019 either.
- 13.9You are responsible to the customer for your own advice and conduct. Vortex is responsible for its own design, price and generation estimate, the papers it fills in, and the plant it sells.
- 13.10Each side is responsible for the losses its own fault causes. Neither side is liable for indirect losses, such as lost profit or lost business.
- 13.11For any one job, your liability to Vortex is capped at your fee for that job plus any customer or DISCOM money you handled in it. Vortex's liability to you is capped at your fee for that job plus any money Vortex owes you. These limits do not apply to fraud, a bribe, deliberate wrongdoing, misuse of money or data, or death or injury caused by carelessness.
- 13.12Others, such as a customer or an authority, may make claims against Vortex, or fine it. You make good (indemnify) Vortex's resulting claims, fines and costs, but only to the extent your own breach, fraud or carelessness caused them. You do not cover anything caused by Vortex, the customer, the DISCOM or another partner.
- 13.13Vortex covers you in the same way for claims caused by: its own breach; its design, price, estimate or papers; or what it told or sold the customer.
- 13.14This cover, both ways, is subject to the limits above. A side that wants to be covered must tell the other side promptly, share the papers and let it respond.
- 13.15Neither side is at fault for delays caused by events it cannot control, such as DISCOM or portal outages, government orders, floods or strikes. This applies only if it tells the other side promptly and does its best to limit the delay.
14. Changes and general
- 14.1Vortex may change these terms by giving at least 15 days' notice in the partner app and by SMS or WhatsApp to your registered mobile, saying what is changing. A change that the law requires may apply sooner.
- 14.2A change never reduces money you have already earned, or the fee on an offer you have already accepted. That work stays under the version that applied when you accepted it.
- 14.3If you do not agree with a change, you may end the partnership without penalty before it takes effect. You accept the change if you accept the new version with a code, or accept a new offer after the change takes effect.
- 14.4A change to the rate card is not a change to these terms. Vortex tells you about it before it applies. It applies only to offers made after it, and every offer shows its fee before you accept.
- 14.5"In writing" in these terms means through the partner app, by SMS, WhatsApp or email to the other side's registered number or address, or by letter. Vortex writes to your registered mobile or email. You write to your area manager or to Vortex's head office in Lucknow. A notice counts as received when it is delivered. Keep your contact details up to date.
- 14.6Your login is personal: do not let anyone else work under it. You may not transfer this agreement to anyone else. Vortex may transfer it to a business that takes over its work, and will tell you when it does.
- 14.7These terms, with the rate card and your accepted offers, replace any earlier understanding about expert work for Vortex.
- 14.8If any clause is found invalid, the rest still apply. If either side does not enforce a clause straight away, it can still enforce it later. If these terms are also given in Hindi or another language, the English version decides any difference in meaning.
