These terms are the agreement between Vortex Solar, Lucknow, and an installation business that installs rooftop solar plants for Vortex's customers through the Vortex partner app. They apply from the moment you accept them with the code sent to your mobile. The short points come first. The full terms after them are what count. For every payment, the money section says who pays, how much, when, how, and what is held or deducted.
In plain words
- Your price, shown before you accept. Every job alarm shows the full labour price from Vortex's rate card. Today that is ₹2,500 per kW, charged for at least 3 kW, plus listed extras such as extra floors and frames. Once you accept, that price is fixed for the job. Rate changes apply to new jobs only.
- No commission, no joining fee. Vortex takes no commission from your labour and charges no fee to join or to get jobs. Penalty points never cut your pay. The only deduction from a Vortex payout is TDS (income tax taken at source), and only where the law requires it. Today Vortex deducts 0%.
- Customer pays your team directly. If the customer chose to pay your team, they pay the job price in cash or UPI when the work is finished. They do not wait for the certificate. Vortex holds nothing and deducts nothing. Record the payment in the app the same day and give a receipt.
- Through Vortex: paid on Wednesdays. If the customer paid Vortex online or through a loan, Vortex holds your labour until its engineer issues the Installation Certificate. Vortex then pays it by bank transfer to your checked bank account in the next Wednesday payout.
- Clear payout records. For every payout the app shows the gross amount, the TDS, the amount paid and the bank reference (UTR). A failed transfer goes into the next Wednesday payout. If a Wednesday is a bank holiday, the payout moves to the next working day.
- Service visits paid per visit. Each service visit pays a fixed amount for its type, shown in the app (today ₹300 to ₹600). It is paid in the next Wednesday payout after the request is closed with the customer's happy code, or by a supervisor who records why.
- Cancellations and money questions. If the customer or Vortex cancels before your team starts on site, no labour is due and you get no points. If a job is cancelled after work starts and it is not your fault, Vortex pays for the work done. Ask about any payment within 30 days.
- Never take money for materials. Customers pay Vortex for materials before pickup. Never take money for materials or for Vortex's price. Never take more than the job price. Never take money from another partner or from Vortex staff.
- You run your own business. You are an independent business, not Vortex's employee. You employ, pay, insure and keep safe your own technicians. Vortex does not promise a minimum number of jobs, and you may also work outside Vortex.
- Five-year workmanship promise. For 5 years from the Installation Certificate, you fix free of charge any fault caused by your team's work, within 72 hours of Vortex asking. Items that fail inspection because of your work are fixed within 72 hours at your cost.
- Ratings raise your job limit. You start on probation with 1 open job at a time. Good customer ratings move you up: active allows 3 open jobs, silver 5 and gold 8.
- Clear penalty points. Giving back an accepted job costs 3 points, a no-show 4, a third failed inspection 2, and a lost dispute 3. Any penalty stops your job alarms, and 10 points means suspension. You can challenge unfair points within 7 days.
- Customers' consent and data protected. Work only on jobs the customer has agreed to with a code (OTP). Use their details only for the job and keep them safe. Never share, sell or post them, and delete your copies when the job is done.
1. Who this is for
- 1.1These terms are an agreement between Vortex Solar, with its head office in Lucknow ("Vortex"), and the installation business that accepts them in the Vortex partner app ("you"). You may be a sole proprietor, partnership, LLP or company. The terms start when you accept them and continue until either side ends them as these terms allow.
- 1.2You install rooftop solar plants that customers have bought from Vortex. Vortex is the seller (the vendor of record) to the customer and supplies the materials. You do the installation work, following Vortex's instructions and standards.
- 1.3You are an independent business, not Vortex's employee or agent. You decide how to organise your teams, working hours and tools, within the job's instructions, the safety rules and the customer's dates. You cannot make promises or sign anything on Vortex's behalf. Calling you a "partner" does not create a legal partnership under the Indian Partnership Act 1932.
- 1.4Your technicians work for you, not for Vortex. Your company adds them in the app; they do not apply to Vortex. You are responsible for their work, conduct, pay and safety. Nothing in these terms makes Vortex their employer.
- 1.5The person who accepts these terms confirms that they are at least 18 years old and authorised to bind the business.
- 1.6"Your area manager" means the Vortex manager for your area. Where your area has none, it means Vortex's head office in Lucknow.
- 1.7Vortex is building its areas in Uttar Pradesh's big cities (Lucknow, Kanpur, Ghaziabad with Delhi, Meerut, Agra, Bareilly, Aligarh, Saharanpur, Prayagraj, Varanasi, Gorakhpur, Jhansi, Ayodhya), Uttarakhand (Dehradun, Haldwani), Patna, Chandigarh, the rest of Haryana, Bhopal, Jabalpur and Gwalior. These areas are still being built. Vortex does not promise that work is available in any of them.
- 1.8Job alarms are based on the PIN codes you serve. They reach you first for jobs close to those PIN codes, then for the wider district, then for the wider region. Every alarm shows the job's area, and you are free not to accept a job that is too far away.
- 1.9Vortex does not promise any minimum number of jobs or any level of income. You are free to take other work outside Vortex, subject to the section on confidentiality and brand.
2. Joining and verification
- 2.1To join, you must: apply with a code sent to your mobile; meet the eligibility rules; take a screening call; complete KYC (identity checks); pass a background check; accept these terms with a code sent to your mobile; complete Vortex's training; and pass a practical. For installation partners, the practical is a supervised first job and a safety-gear (PPE) video.
- 2.2For KYC you give copies of your Aadhaar and PAN, your bank account details and a selfie. Vortex's area manager checks them by hand. The name on the bank account must exactly match the name of your business or its owner.
- 2.3The background check covers your references, and whether you were removed from Vortex or similar work before.
- 2.4You must pass every joining step; none can be skipped. Some steps allow a set number of further tries. If you fail a step, Vortex may refuse the application, and it will tell you which step you failed.
- 2.5When you have passed every step, Vortex activates you on probation and you get a login to the partner app. Only then can you receive job alarms.
- 2.6You must hold every licence and registration the law requires for the electrical and installation work you do, such as an electrical contractor's licence. Keep them valid, and keep copies in your app profile. Electrical wiring and connections may be done only by people who hold the licence or permit the law requires.
- 2.7If your ownership, address, licence, GST registration or bank account changes, tell Vortex within 7 days, in your app profile or in writing to your area manager.
3. How work reaches you
- 3.1Installation jobs reach you as a job alarm in the partner app: a push notice to your phone, and a ringing alert while the app is open. Keep the app signed in with notices turned on. Vortex does not promise that every alert will reach you.
- 3.2The alarm goes out in waves, today 5 minutes apart. The first wave goes to the five teams best placed near the job; a higher rating and fewer open jobs put a team higher. The second wave goes to every team in the wider district, and the third to the wider region.
- 3.3Before you accept, the alarm shows the full labour price, the plant size in kW, the number of panels, the number of floors, the area, and which of the customer's dates you have a team free for.
- 3.4The first company to accept, on one of the customer's dates with a team free, gets the job. Only your company's owner or a manager can accept a job or give one back.
- 3.5You get alarms only while all of these are true: you are in a working standing (probation, active, silver or gold); Vortex has not paused you; you are below your open-job limit; and you have a team free on one of the dates. After you win a job, you get no alarms for 30 minutes.
- 3.6If nobody accepts, the customer or Vortex may raise the price and send the job out again. Each rise is 10% or 20%. There can be at most three rises, adding at most 50% in total. The price shown when you accept is the price for that job.
- 3.7A customer may also choose your team on their agreement, or Vortex may offer you a job directly. A job or offer that does not show a labour price in the app is not a valid offer. Do not accept it, and do not start work, until the price is shown.
- 3.8Service visits go first to Vortex's own field staff. When they are busy, Vortex may give you a visit, usually starting with the team that installed the plant.
- 3.9Accept only jobs your team can do on the chosen date, safely and to standard.
4. Your price and how you are paid
- 4.1For an installation you are paid for labour only, from Vortex's installer rate card. Today's rate is ₹2,500 per kW, charged for at least 3 kW, so at least ₹7,500 a job.
- 4.2Listed extras are added from the same rate card. Today's extras are: ₹40 per metre of cable beyond the standard run; ₹15 per kg of structure steel beyond 45 kg per kW; ₹750 for each floor above two; ₹750 for each frame after the first; and ₹1,500 for each frame that straddles (spans across) an upper roof.
- 4.3The full price is worked out from the customer's design and shown in the job alarm before you accept. Once you accept, the price is fixed for that job and Vortex cannot lower it.
- 4.4Vortex may change the rate card. Before a change applies, Vortex will tell you about it in the app, or by SMS, WhatsApp or email. A change applies only to jobs offered after it takes effect, never to a job you have already accepted.
- 4.5Vortex takes no commission from your labour and charges you no fee to join or to receive jobs. Penalty points never reduce your pay.
- 4.6If the site needs work that the price does not include, stop and tell your area manager before you do it. Extra work is paid only if Vortex agrees to it in writing (in the app or by message) before the work is done, stating the amount and who pays it. Agreed extra work is paid in the same way and at the same time as the job.
- 4.7Each service visit is paid a fixed amount for its type, from Vortex's rate card. Today the amounts are ₹300 to ₹600; for example, ₹300 for a grid-supply visit and ₹500 for an inverter fault. The app shows the amount for each visit.
- 4.8The customer chooses how to pay for the installation labour: directly to your team, or to Vortex through its online payment gateway. If the customer has a loan, the loan pays through Vortex. The app shows how each job was paid.
- 4.9Paid directly: the customer pays your team the job price in cash or UPI when the installation work is finished, without waiting for the Installation Certificate. Vortex holds nothing and deducts nothing. Record the payment in the app the same day, with the mode (cash or UPI) and the UPI reference, and give the customer a receipt.
- 4.10If a customer who chose to pay you directly does not pay in full, record what was paid in the app the same day and tell your area manager. Vortex will help settle it as a dispute with the customer. Vortex does not owe you the customer's direct payment unless it agrees to pay it in writing.
- 4.11Paid through Vortex: Vortex holds your labour until its engineer issues the Installation Certificate, which is the engineer's record that the plant passed inspection.
- 4.12After the certificate is issued, Vortex pays the job price, less any TDS, by bank transfer to your checked bank account. It is paid in the first Wednesday payout after the certificate. The Money screen shows the gross amount, the TDS, the amount paid and the bank reference (UTR).
- 4.13Vortex arranges the engineer's inspection after you mark the job complete with every required photo, serial number and test reading. If no inspection has happened within 7 days, for a reason that is not yours, tell your area manager in writing and the area manager will act.
- 4.14A service visit is paid in the first Wednesday payout after the request is closed, either with the customer's happy code or by a Vortex supervisor who records a reason. A visit counts only when your team has uploaded a photo of the plant after the work and a note of what was found and done.
- 4.15If a bank transfer fails, the payment goes into the next Wednesday payout. If it failed because your bank details were wrong, it is paid on the first Wednesday after you correct them and Vortex has checked them.
- 4.16If a Wednesday is a bank holiday, that payout is made on the next working day.
- 4.17Payouts go only to the bank account checked at KYC, which must be in your business's or its owner's name. If you change that account, Vortex may hold payouts until it has checked the new one, and then pays them on the first Wednesday after the check.
- 4.18If the customer or Vortex cancels a job before your team starts work on site, no labour is due and you get no penalty points.
- 4.19If a job is cancelled after your team has started work on site, and not because of your team's fault, Vortex pays you for the work actually done. The amount is worked out from the rate card and agreed with you, and it is paid in the first Wednesday payout after it is agreed.
- 4.20If you give back a job you accepted, or do not turn up for it, no labour is due for that job and penalty points apply (see the section on standing). Once work has started on site, a job cannot be given back in the app; talk to your area manager.
- 4.21You are not paid for fixing faults caused by your own workmanship, or for fixing items that failed inspection because of your team's work. No labour is due for work that was not done or was falsely recorded.
- 4.22The only deduction Vortex makes from a payout is TDS, where the law requires it. Vortex takes nothing else out of your payouts.
- 4.23If you owe Vortex money, for example the cost of a fault you did not fix in time or of materials your team lost, Vortex sends you a separate bill with the reason and the evidence. Pay it within 15 days, or dispute it within that time. A disputed amount is not due until the dispute is settled.
- 4.24Raise any question about a payment within 30 days of the payout, or within 30 days of the date it should have been paid. Raise it in writing with your area manager or the Lucknow head office, by the app where it offers a way, by WhatsApp or by email. Vortex replies within 7 working days, pays any part that is not in question on time, and pays any agreed correction in the next Wednesday payout. A question raised later will still be looked at, and this time limit does not take away any right you have under the law.
5. Taxes and invoices
- 5.1You are responsible for your own income tax, GST and any other taxes on what you earn.
- 5.2Rate-card amounts do not include GST. If you are GST-registered, add your GSTIN in the app and raise a GST tax invoice to Vortex for each installation or visit that Vortex pays you for. Vortex pays the GST shown on a valid invoice on top of the rate-card amount. Vortex can pay the GST only once it has your invoice.
- 5.3If you are not GST-registered, the payment record in the app is your bill to Vortex, and no GST is added.
- 5.4When a customer pays you directly, give the customer a receipt in your business's name, or a GST tax invoice if you are registered.
- 5.5TDS (income tax deducted at source) is deducted only where income-tax law requires it. Today Vortex deducts 0%. If the law requires a deduction, for example once your payments in a year pass the legal limit, Vortex deducts it at the legal rate and tells you when deductions start. Each deduction is shown on your payout. Vortex pays the tax to the government and gives you the TDS certificate the law requires.
- 5.6Keep your PAN correct in the app. Without a valid PAN, the law may require a higher TDS rate.
- 5.7If you are a registered micro or small enterprise (Udyam registration), add it to your profile. Nothing in these terms reduces your rights on payment time under the Micro, Small and Medium Enterprises Development Act 2006.
- 5.8Your company owner's Money screen shows, for each job, what was agreed, what was received and what is due, and every payout. Keep your own records too.
6. Materials, quality, safety and warranty
- 6.1Vortex supplies all materials, and the customer pays Vortex for them in full before they are handed over. Your team collects them from the warehouse named in the job, using the customer's 6-digit pickup code. You never pay for the materials, and you never take money for them.
- 6.2Check the items when you collect them, and report anything missing or damaged before you leave the counter. The panel and inverter serial numbers you scan at the site must match the ones handed over. Never swap, sell or keep any item.
- 6.3From collection until the plant is handed over, your team looks after the materials. You pay for any loss or damage your team causes, at the price on the job's materials list. You do not pay for faults in the goods themselves. Return anything you do not use, as Vortex directs.
- 6.4Follow the job's installation instructions (the work plan, roof drawings, tasks and test limits) and complete the job card. The job card includes the checklists, the test readings, and the required photos of the panels, inverter and earthing, taken at the site with their location recorded.
- 6.5Safety comes first. Follow India's electrical safety rules, including the Central Electricity Authority's safety regulations. Give every worker proper safety gear (PPE): a helmet, gloves, safety shoes, and a safety harness tied to a firm point for roof work. Stop work when it is unsafe, for example in rain, lightning or strong wind.
- 6.6Stopping work for safety is not misconduct. Tell Vortex the same day, and any penalty points it causes will be cancelled on review.
- 6.7You employ your workers. Pay them at least the legal minimum wage and follow labour and social security laws. Insure them as the law requires, and keep proof in your app profile. Never use child labour or forced labour. Vortex does not insure you, your workers or your tools.
- 6.8After an accident, get medical help first. Report any accident, injury, or damage to a customer's property to Vortex within 24 hours. Make good, at your cost, any damage your team causes.
- 6.9Vortex's engineer inspects every installation. Each item that fails becomes a fix-it (rectification) task, which you fix within 72 hours at your cost. This does not apply if the item failed because of faulty materials or a design error from Vortex. The engineer records the cause, and you may dispute it.
- 6.10If weather, lack of access to the customer's home or a safety risk stops you from meeting a 72-hour time limit, tell Vortex before the time runs out. Your area manager will then set a new time.
- 6.11Workmanship warranty: for 5 years from the Installation Certificate, you fix any fault caused by your own workmanship, free of charge, within 72 hours of Vortex asking. Examples are loose connections, wrong cabling, poor earthing, a loose structure, and leaks where you fixed to the roof.
- 6.12The warranty does not cover faults in the makers' equipment (their own warranties cover those), misuse, work by others, or damage beyond what the design was built to withstand. Vortex's engineer records the cause, and you may dispute it.
- 6.13If you do not fix a workmanship fault or a fix-it task in time, Vortex may have someone else fix it and send you a bill for the reasonable cost, with the evidence. You may dispute the bill.
7. Customers, consent and data
- 7.1Every customer you serve through Vortex is Vortex's customer, introduced to you by Vortex.
- 7.2Work on a customer's project only after the customer has agreed with a one-time code (OTP), for example by signing their agreement with Vortex. Every job Vortex sends you comes from such an agreement.
- 7.3The only code your team may ask a customer for is the materials pickup code. Never ask for sign-in codes, bank OTPs, PINs or passwords. Never ask for the happy code either; the customer gives it only to Vortex's service desk.
- 7.4Vortex shares customers' personal data with you only so that you can do the job. This includes names, phone numbers, addresses, documents and photos of their homes. Under the Digital Personal Data Protection Act 2023, Vortex is responsible for this data. You handle it only on Vortex's behalf, as Vortex directs and as these terms allow.
- 7.5Use customers' data only through the app and only for the job. Keep it safe: lock your phones, and do not let anyone outside your team see it. Never sell, share or post it, and never pass it to anyone else to handle. Delete any copies on your phones and in your chats when the job is done; the job stays in the app for later warranty work.
- 7.6If customers' data is lost, leaked or misused, tell Vortex immediately, and in any case within 24 hours, and help Vortex deal with it.
- 7.7If a customer asks you to show, correct or delete their data, or complains about how it is used, pass the request to Vortex the same day.
- 7.8Tell customers the truth. Send any questions about the price, the PM Surya Ghar subsidy (Vortex's desk handles its papers) or the plant's expected output to Vortex. Never promise anything that Vortex has not promised.
- 7.9Vortex keeps your KYC and bank details, and your technicians' names and phone numbers, securely. It uses them only to run the partnership, check work and pay you. The app records where each job photo was taken, to show that it was taken at the site. Vortex shows customers your business name, rating and reviews.
- 7.10You may ask Vortex to show or correct your data, or to delete it after you leave. Vortex will not delete what the law requires it to keep, such as tax and payment records.
- 7.11Before you add a technician in the app, tell them that Vortex will hold their name, phone number and work records for these purposes.
8. Conduct
- 8.1Never change Vortex's price, or offer a customer a different deal for the plant.
- 8.2Never take money for materials or for Vortex's price. Never take more than the job price, apart from extra work Vortex has agreed in writing.
- 8.3Never give or accept money, gifts or favours for jobs, either with another Vortex partner (such as a solar expert or net-metering agent) or with Vortex staff.
- 8.4Never misrepresent the PM Surya Ghar subsidy, the customer's eligibility for it, or how much the customer will get.
- 8.5Declare in your profile, or in writing to your area manager, any link you have with another Vortex partner, with Vortex staff, or with a customer you are serving. This includes family, ownership and business ties.
- 8.6On site: carry identification, be polite and respectful, and respect the family's privacy. Do not use alcohol or drugs, do not smoke on the roof, and leave the site clean.
- 8.7Never present yourself as Vortex staff, and never sign or accept anything on Vortex's behalf.
- 8.8Never offer, pay, ask for or accept a bribe, kickback or improper favour, in cash or kind, from or to anyone. This includes DISCOM (electricity company) and government officials, customers, and Vortex staff. If anyone asks you for one, refuse and tell Vortex's head office.
- 8.9Never upload false photos, locations, serial numbers, readings or payment records. Never sign, or enter a code, on a customer's behalf. Photos taken more than 300 metres from the site are flagged for the engineer, and false records are a serious breach.
9. Standing, ratings and penalties
- 9.1Your standing is your level with Vortex. It sets how many open jobs you can hold at once: probation 1, active 3, silver 5 and gold 8.
- 9.2You start on probation. Once you have at least 5 customer ratings in the last 12 months, your standing follows your average rating: 3.5 stars or more is active; 4.3 or more is silver; 4.7 or more, with at least 20 ratings, is gold; under 3.5 is warned.
- 9.3Customers rate the installation when it is certified. A rating under 2.5 stars needs a comment, and a Vortex supervisor checks it and decides whether it counts.
- 9.4Your rating is shown in your app at all times.
- 9.5Penalty points are: 3 for giving back a job you accepted; 4 for not turning up (an accepted job not started on site by the end of its planned day); 2 for each failed inspection round on the same job from the third round on; and 3 for losing a dispute.
- 9.6Any penalty puts you in warned standing, which gets no job alarms. You return to a working standing when a new customer rating brings your 12-month average to 3.5 stars or more over at least 5 ratings, or when Vortex lifts the warning after a review. You may ask for that review at any time.
- 9.7Points add up over your whole time with Vortex. At 10 points you are suspended, and you get no work until Vortex reviews your record. Before deciding to remove you, Vortex tells you its reasons in writing and gives you 7 days to reply.
- 9.8If you think you were given points for something that was not your fault, raise it in writing with your area manager within 7 days. Examples are when the customer moved the date, the site was not ready, or you stopped work for safety. If Vortex agrees, it cancels those points and restores your standing.
- 9.9Vortex may pause your job alarms for a stated reason, such as an expired licence, a safety concern or a serious open complaint. It tells you the reason and what you need to do, and lifts the pause once that is done.
10. Confidentiality and brand
- 10.1Keep confidential everything you get through Vortex that is not public, such as customers' details, designs, drawings, Vortex's internal prices, and how the app works. Use it only for Vortex jobs. This duty continues after you leave.
- 10.2While you are a partner, do not offer a customer that Vortex introduced to you a plant, materials or installation outside Vortex. For 12 months after you leave, do not use Vortex's customer details to approach those customers.
- 10.3Customers you found yourself, outside Vortex, are your own customers.
- 10.4While you are active, you may describe yourself as a "Vortex Solar installation partner". Do not otherwise use Vortex's name or logo without written permission, and stop using them when you leave.
- 10.5Vortex may show customers your business name, team, rating, reviews and photos of your work.
- 10.6Do not post photos of a customer's home on social media without the customer's written permission, and never post the address.
- 10.7Job cards, photos, test records and other records you make for a job belong to Vortex and go into the customer's file. You may keep copies of your own invoices and payment records.
11. Ending the partnership
- 11.1You may leave at any time by telling Vortex in writing, in the app or to your area manager. Before you go, finish the jobs you have accepted, or agree with Vortex which ones to hand back. A job handed back by agreement when you leave earns no penalty points.
- 11.2Vortex may end the partnership for any reason by giving you 30 days' written notice. Jobs you have already accepted continue under these terms unless both sides agree otherwise.
- 11.3If you break these terms in a way that can be put right, Vortex will tell you in writing what to put right. If you have not put it right within 15 days, Vortex may end the partnership.
- 11.4Vortex may suspend or end the partnership at once for a serious breach, by written notice giving the reasons. Serious breaches are: fraud or false records; taking money for materials or for Vortex's price, or more than the job price; bribery; a serious safety breach; misuse of customers' data; abuse or harassment of a customer; losing a required licence; or reaching 10 penalty points. Where it can safely do so, Vortex first gives you a chance to explain.
- 11.5When the partnership ends, Vortex pays everything you have earned in the normal Wednesday payouts, and closes your login. Held payments are paid once their certificates are issued.
- 11.6Some duties continue after the partnership ends: your workmanship warranty and fix-it duties on jobs you did, confidentiality, your duties on customers' data, money owed either way, the limits on liability, and disputes.
- 11.7When the partnership ends, delete customers' data from your phones and chats, return anything that belongs to Vortex (including unused materials), and stop using Vortex's name.
12. Disputes
- 12.1If you have a dispute with a customer, try to settle it with them within 72 hours, and tell your area manager. If it is not settled, Vortex mediates (helps both sides reach an outcome), using the job card, photos, test readings and inspection records. Vortex tells you its finding and the reasons in writing.
- 12.2If Vortex's mediation finds against you, the outcome may be a fix by you, penalty points (3 for a lost dispute) or, in serious cases, removal following the steps in the section on ending the partnership.
- 12.3If you have a dispute with Vortex, about money, points, standing or anything else, raise it in writing with your area manager or the Lucknow head office. Vortex replies within 7 working days. If you are not satisfied, a senior person at the Lucknow head office reviews it.
- 12.4If it is still not settled within 30 days of being raised, either side may refer it to arbitration, which is a private, binding decision by an independent arbitrator under the Arbitration and Conciliation Act 1996. There will be a sole arbitrator that both sides agree on. If the two sides cannot agree on one within 30 days, an arbitrator is appointed under that Act. Neither side alone chooses the arbitrator.
- 12.5The seat and venue of the arbitration is Lucknow, and the language is English (documents in Hindi may be used). Hearings may be held online.
- 12.6Each side pays its own costs in arbitration, unless the arbitrator decides otherwise.
- 12.7Subject to arbitration, only the courts at Lucknow have jurisdiction, including for urgent interim relief.
- 12.8If you are a registered micro or small enterprise, you may instead take a payment dispute to the Micro and Small Enterprises Facilitation Council, as the MSMED Act 2006 allows.
- 12.9While a dispute is running, amounts that are not in question are paid on time, and both sides continue to follow these terms.
13. Changes to these terms, and general
- 13.1Vortex may change these terms by giving at least 15 days' notice, in the app and by SMS, WhatsApp or email. The notice says what is changing and when. You accept the new version with a code (OTP) sent to your mobile. A change that the law requires may apply sooner.
- 13.2If you do not agree to a change, you may leave without penalty before it takes effect. Until you accept the new version, Vortex may stop sending you new jobs. A change never affects a job you have already accepted.
- 13.3A change to the rate card is not a change to these terms. It applies only to jobs offered after the change, and every job alarm shows the price before you accept.
- 13.4You accept these terms by entering the one-time code (OTP) sent to your registered mobile. This is a valid electronic contract under the Indian Contract Act 1872 and the Information Technology Act 2000. Vortex keeps a record of the version, the exact text you accepted, the date and time, and the mobile number.
- 13.5The agreement is made up of these terms, the rate card, and the job details shown when you accept a job. If they differ on a job's price, the job details you accepted win. Nothing said outside these documents changes them unless Vortex confirms it in writing.
- 13.6You may not transfer this agreement, or pass a job to another company, without Vortex's written permission. Your own technicians may do the work. Vortex may transfer this agreement to a business that takes over its solar work, and will tell you if it does.
- 13.7Neither side is responsible for delays caused by events outside its control, such as floods, storms, riots, government orders or grid shutdowns, as long as it tells the other side quickly and does its best to limit the delay.
- 13.8Neither side is liable to the other for indirect losses, such as lost profit or lost business.
